These Terms of Service (hereinafter referred to as "Terms") govern the usage of the Platform and the services provided by VisionTech Academy Pvt Ltd (“VisionTech", “we" or "us"), a private limited company incorporated under the relevant provisions of the Companies Act. Our registered office is located at Module No.1, Q3-A3 in quadrant 3, 1st Floor, Cyber Towers, HITEC City, Hyderabad, Telangana, 500081.

VisionTech Academy Pvt Ltd operates under its brand name “VisionTech". These Terms apply to various channels facilitated by VisionTech, including but not limited to mobile applications, WhatsApp groups, Facebook groups, Instagram pages, Facebook pages, email/SMS/phone communications, and other communication forums/media hosted by VisionTech, collectively referred to as the "Platform."

Your use of VisionTech's services (hereinafter referred to as "VisionTech Services") signifies your explicit acceptance of these Terms. Additionally, the terms outlined in our privacy policy (available at “Privacy Policy”) or any other policy related to our services are deemed incorporated into these Terms by reference. By accepting these Terms, you commit to complying with all obligations and conditions stipulated herein, unless explicitly stated otherwise.

Your consent to these Terms will be considered ongoing unless you explicitly withdraw it by notifying VisionTech in writing. In cases where an executed agreement exists between you and VisionTech regarding our services, any deviations from these Terms will only apply upon written agreement between the parties.

Services Offered by VisionTech

VisionTech provides users with access to various training programs designed to equip undergraduates and professionals with computer science skills. These programs include, but are not limited to, AI, Medical Coding, Finance etc. We reserve the right to add, modify, suspend or discontinue any or all of our services at any time, in our sole discretion. Your continued use of VisionTech's services following any such changes constitutes your acceptance of those changes.

User Responsibilities

The information you provide during registration and account setup is assumed to be accurate, complete, and kept up-to-date. You are solely responsible for all activity that occurs under your account, including activity by authorized users. You are also responsible for maintaining the security of your account credentials and any information you provide. VisionTech is not responsible for the accuracy or legitimacy of any information uploaded or posted on the platform. To be clear, as long as someone accesses your account with the correct login information, and unless you notify us of unauthorized access, you will be held responsible for all actions or omissions related to your account.

User License

In consideration of your acceptance of these ToS and any applicable subscription agreement between you and VisionTech, VisionTech grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable limited license to access and use the VisionTech platform and services, in accordance with these ToS.

Creating a Secure Account

• Maintaining a Secure Platform: Don't Overload the System: Actions that place an unreasonable strain on VisionTech's infrastructure (or that of our third-party providers) are prohibited. Play by the Rules: Tampering with the platform's functionality or trying to bypass security measures is strictly against the rules. Respect Copyrights: Modifying, translating, or creating derivative works from VisionTech's content or platform is not allowed. Content Usage: Copying, renting, downloading, extracting, leasing, distributing, or transferring any part of VisionTech's platform, content, or user data is prohibited unless explicitly authorized by VisionTech.
• Reporting Concerns: See Something, Say Something: If you observe any user violating these guidelines or any VisionTech policy, please notify us immediately.

• Inability to verify or authenticate any information provided by you;
• Reasonable suspicion of any illegal, fraudulent, or abusive activity on your part.

In the event of a temporary suspension, indefinite suspension, or termination, you are prohibited from continuing to use the platform under the same account, a different account, or by re-registering under a new account. VisionTech may, at its sole discretion, destroy and/or delete all data and information associated with your account. All provisions of the ToS that are inherently intended to survive termination shall remain in effect, including, without limitation, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer

The VisionTech services and content are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied. This includes, but is not limited to, implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose, as well as any warranties implied by any programs of performance or usage of trade, all of which are expressly disclaimed. VisionTech and its directors, employees, agents, suppliers, sponsors, and partners do not warrant that:

• The VisionTech services and platform will be secure, error-free, or available at any particular time or location;
• Any defects or errors will be corrected;
• Any content or software available at or through the platform is free of viruses or other harmful components; or
• The results of using the platform will meet your requirements. The VisionTech services may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. VisionTech is not responsible for any delays, delivery failures, or other damage resulting from such problems. Your use of the platform and the VisionTech services is solely at your own risk.

You will be awarded a certificate of successful completion of a program ("Program Certificate") upon fulfilling the criteria and requirements set by VisionTech, which may be updated from time to time. The decision to award any such Program Certificate or other acknowledgement of successful completion of a program is solely at VisionTech's discretion. VisionTech may choose not to offer any such Program Certificate or other acknowledgement of successful completion for some programs. VisionTech may decide, at its sole discretion, whether to provide a record concerning a customer's performance in a program. The format of any certificate, credential, or other acknowledgement, and any performance record provided by VisionTech relating to a program will be determined by VisionTech at its sole discretion and may vary according to the program.

VisionTech has no obligation to have its services, content, programs, and certificates recognized by or affiliated with any educational institution or accreditation organization. VisionTech provides education-related services through the platform. The platform or the VisionTech services must not be construed as a university. Users understand and acknowledge that VisionTech cannot award certificates that are recognized by any regulatory body such as the All India Council for Technical Education or University Grants Commission.

It is the sole responsibility of the customer enrolling in a program to check the accuracy and evaluate the suitability and relevance of the selected program. Enrollment in a program is non-transferable.

You acknowledge that certain parts of the platform may be enabled by third-party service providers, and you agree to abide by their terms and conditions to the extent such terms are applicable to you. VisionTech shall not be responsible for any disruption of its services caused by any such third-party service provider.

Indemnification

You shall defend, indemnify, and hold harmless VisionTech, its affiliates, subsidiaries, and each of their employees, contractors, directors, suppliers, and representatives from all liabilities, losses, claims, and expenses, including reasonable attorneys' fees, that arise from or relate to:

• Your use or misuse of, or access to, the VisionTech platform and/or services;
• Your violation of the Terms of Service or any applicable law; and
• Your violation of any third-party rights in relation to your usage of the platform.

VisionTech reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such event, you will assist and cooperate with VisionTech in connection therewith.

Limitation of Liability

To the fullest extent permitted by law, in no event shall VisionTech (nor its directors, employees, agents, sponsors, partners, suppliers, content providers, licensors, or resellers) be liable under contract, tort, strict liability, negligence, or any other legal or equitable theory with respect to the service for:

• Any lost profits, data loss, loss of goodwill or opportunity, or special, indirect, incidental, punitive, or consequential damages of any kind whatsoever;
• Your reliance on the VisionTech services;
• Any direct damages exceeding, in the aggregate, one thousand rupees (INR 1,000/-); or
• Any matter beyond its reasonable control, even if VisionTech has been advised of the possibility of any of the aforementioned damages.

Governing Law

The Terms of Service (ToS) shall be governed by and construed in accordance with the laws of India, without regard to its conflict of laws provisions. All claims, differences, and disputes arising under or in connection with the platform, the ToS, or any transactions entered into on or through the platform shall be subject to the exclusive jurisdiction of the courts at Bengaluru, India. By using the platform, you hereby agree to submit to the jurisdiction of such courts and accept their authority in any legal matters pertaining to VisionTech.

Payments

VisionTech offers flexible payment options to ensure a seamless enrolment process for our users. Unless otherwise expressly agreed in writing by VisionTech, full payment for enrolment and participation in a program is required at the time of registration. To make payments for any program or to purchase any services or products offered by VisionTech through the platform, you must have internet access and a current valid accepted payment method, as indicated on the platform ("Payment Method").

VisionTech prioritizes the security of your financial information. We do not store any of your credit card information or other sensitive data restricted by regulatory authorities such as the Reserve Bank of India (RBI) for processing payments. Instead, we have partnered with trusted payment gateways to facilitate secure transactions. By using a third-party payment provider, you agree to abide by the terms and policies of such providers. While VisionTech's third-party payment providers may store certain information as per their terms and policies, VisionTech shall not be liable for any loss of information or any misuse thereof. It is solely at your discretion to allow the third party to store such information.

VisionTech supports a wide range of payment methods and currencies to cater to diverse user needs. However, please note that not all payment methods, currencies, or locations may be supported. All applicable taxes are calculated based on the billing information provided by you at the time of enrolment or purchase. Additionally, your transactions on the platform may be subject to foreign exchange fees or exchange rates.

At VisionTech, we strive to make the payment process convenient and transparent for our users, ensuring a hassle-free experience from enrolment to completion.

Pause Feature

At VisionTech, we understand that learners have varying needs and schedules. That's why we offer a "Pause" feature, allowing learners enrolled in our programs to tailor the pace of their learning journey. With this feature, learners can pause their program for a maximum of three (3) months throughout the program's duration.

During the pause period, learners will retain access to previous recordings and doubt resolution support. However, no new lectures will be added during this time to ensure consistency in learning materials.

Should a learner wish to extend the pause beyond the initial three-month limit, each additional month of pause will incur a charge determined by VisionTech in its sole discretion. Please note that these charges may be updated periodically and are exclusive of applicable taxes. Any extension of the pause feature is subject to VisionTech's specific approval.

At VisionTech, we strive to empower learners with flexibility and control over their learning experience. Our pause feature is designed to accommodate individual learning needs while ensuring continued access to valuable resources and support.

Policy by NDNC

At VisionTech, we respect your privacy and adhere to the highest standards of data protection. By using our website and/or registering with us at VisionTech.com, you authorize us to contact you via email, phone call, or SMS to provide information about our services, offer product knowledge, and present promotional offers available on our website, as well as offers from our associated third parties. Please note that personally identifiable information may be collected for these purposes.

Even if you have registered under the National Do Not Call (NDNC) or Do Not Disturb (DND) or National Customer Preference Register (NCPR) service, you still authorize us to contact you for the aforementioned purposes for up to 365 days from your registration with us. This Privacy Policy outlines VisionTech's treatment of personally identifiable information collected when you visit our site and use our services. It also covers the treatment of personally identifiable information shared with us by our business partners. However, please note that certain products or services offered by VisionTech may have separate privacy policies.

VisionTech may also receive personally identifiable information from our business partners. When you register with VisionTech, we request information such as your first name, last name, contact number, email address, date of birth, and gender. Once you register with VisionTech and sign in to our services, you are no longer anonymous to us. During registration, you may also be asked to provide your mobile phone number, email address, pager, or other devices to receive text messages and other services on your wireless device. By registering, you authorize us to send SMS/email alerts to you for your login details, any other service requirements, or promotional messages/emails from us.

At VisionTech, we are committed to safeguarding your privacy and ensuring that your personal information is handled securely and responsibly.

If you believe in good faith that your copyright has been infringed, you may provide us with a written communication containing the following:

• An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
• A description of the copyrighted work that you claim has been infringed.
• Details identifying the location of the infringing material on the VisionTech platform.
• Your email address, address, and telephone number.
• A statement, made under penalty of perjury, that the information provided in the copyright notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

Miscellaneous

• Severability: If any provision of these Terms of Service (ToS) is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the ToS will otherwise remain in full force and effect and enforceable.
• No Waiver: Any failure by VisionTech to enforce any right or failure to act with respect to any breach by you under the ToS shall not be construed as, or constitute, a continuing waiver of such provision, or a waiver of any other breach of or failure to comply with any other provision of the ToS, unless any such waiver has been consented to by us in writing.
• Assignment: These ToS are personal to you and are not assignable or transferable by you except with VisionTech’s prior written consent. VisionTech may assign, transfer, or delegate any of its rights and obligations hereunder without your consent.
• No Agency: No agency, partnership, joint venture, or employment relationship is created as a result of the ToS and neither party has any authority of any kind to bind the other in any respect in relation to any third party.
• Notices: All notices under the ToS will be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or e-mail; or two days after it is sent, if sent for next-day delivery by recognized overnight delivery service.
• Force Majeure: VisionTech shall not be liable for failure to perform, or the delay in performance of, any of its obligations if, and to the extent that, such failure or delay is caused by events substantially beyond its control, including but not limited to acts of God, acts of the public enemy or governmental body in its sovereign or contractual capacity, war, terrorism, floods, fire, strikes, pandemics, epidemics, civil unrest or riots, power outage, and/or unusually severe weather.
• Age Requirement: By accepting the ToS through your use of the Platform, you certify and acknowledge that you are 18 years of age or older. If you are under the age of 18 or under the legal age in your jurisdiction to enter into a binding contract, you must use the Platform only under the supervision of a parent or legal guardian who agrees to be bound by the ToS. If you are a parent or legal guardian agreeing to these ToS for the benefit of an individual below 18 years of age, please be advised that you are fully responsible for his/her use of the Platform, including all financial charges and legal liability that he/she may incur. By using the Platform, you represent and warrant that you have the right, authority, and capacity to enter into these ToS and to abide by all of the terms and conditions set forth herein.

Definitions

The following defined terms having their respective meanings as provided below have been used in these ToS:

• "Customer" refers to any User who has paid and subscribed to any of the Programs, which may include execution of a subscription agreement (or any similar agreement executed between such User and VisionTech) or compliance with certain additional terms by the User in this regard;
• "Platform" shall mean the website VisionTech.com, and any other platform (including chat groups, VisionTech hosted social media forums/pages and web pages) which may allow you to access and/or use the VisionTech Services via any other device/medium;
• "VisionTech Content" means and includes all questionnaires, interview ideas, study/programs material in any format, ideas, concepts, inventions, systems, platforms, software, interfaces, tools, utilities, templates, forms, techniques, design formats, methods, processes, algorithms, know-how, trade secrets, and other technologies and information acquired, created, developed or licensed independently by us, prior to or outside the scope of these ToS and any improvement, modification, extension or other derivative works thereof and all intellectual property rights thereto. VisionTech Content excludes all User Data;
• "User Data" means all electronic data, information, or other content submitted or provided by a User to be stored, collected or processed by us in connection with such User's authorized use of the VisionTech Services;
• “You” or “User” shall mean any user of the Platform.
